1. Definitions

• "Membership" means paid access to a private community, group discussions, live calls, and informational materials as described on the website at the time of purchase.
• "Member" means an individual or entity that has purchased a Membership (including its authorized participants).
• "Content" includes recordings (if any), notes, frameworks, documents, messages, and any materials shared in the community.
• "Consumer" means a natural person acting outside their trade/business/profession. "Business" or "B2B" means acting for a trade/business/profession.
• "Private Community" means access is membership-based and subject to community standards; access may be limited or removed for violations.

2. What NeoVerse Is (and Is Not)

NeoVerse is a private, membership-based community for informational exchange and discussion around business strategy, operational thinking, systems, and emerging technologies.

No professional advisory services. NeoVerse does not provide consulting, coaching, investment advice, financial advice, tax advice, legal advice, accounting services, or any form of individualized professional services.

Nothing within NeoVerse creates a consulting relationship, fiduciary duty, agency relationship, or professional-client relationship of any kind.

3. Eligibility and Authority

You must be at least 18 years old to purchase a Membership. If you purchase on behalf of a company, you confirm you have authority to bind that company to these Terms.

If you are a Business customer, these Terms apply between NeoVerse and your entity, and you are responsible for ensuring your participants comply with these Terms.

4. Membership Plans, Term, and Non-Renewal

No automatic renewal. NeoVerse memberships do not renew automatically.

Monthly memberships: run for one (1) month and expire automatically at the end of the paid period. No cancellation action is required.

Annual memberships: run for twelve (12) months. If you want to end an annual membership early or ensure termination at term end, you must provide three (3) months' notice before the end of the annual term. If no notice is given, the Membership still ends at term end (no auto-renewal), but access may continue until the end of the paid term.

NeoVerse may limit seats, pause onboarding, or introduce waitlists.

5. Access, Schedule, and Format

NeoVerse provides access to community features and periodic live group calls as described on the website. Times, frequency, platforms, and formats may change. NeoVerse does not guarantee that any particular call time, speaker, topic, or format will be available.

Missed calls, non-participation, or scheduling conflicts do not entitle you to refunds or credits.

6. Payments, Taxes, and Invoices

Membership fees are payable in advance by the payment method provided. Prices are displayed before purchase. You are responsible for any applicable taxes, VAT, or fees required by your jurisdiction. If invoicing is offered for Business customers, invoicing details must be provided accurately.

NeoVerse may use third-party payment processors. NeoVerse does not store full payment card details.

7. Refunds

All sales are final. Membership fees are non-refundable, except where mandatory law requires otherwise.

EU/EEA/UK consumer notice: If you are a Consumer located in the EU/EEA/UK, you may have a statutory 14-day withdrawal right for certain online purchases. Where you request immediate access to the Membership (digital services/content), you expressly consent to immediate performance and acknowledge that your withdrawal right may be lost to the extent permitted by applicable law.

8. Community Standards and Acceptable Use

Members must behave respectfully and professionally. You agree not to:

• harass, threaten, or discriminate against others;
• share illegal content or promote unlawful activity;
• spam, solicit, or advertise without consent;
• misrepresent identity or authority;
• attempt to access private areas without authorization; or
• interfere with the platform's security or operation.

NeoVerse may suspend or terminate access for violations, without refund.

9. Confidentiality and Off-Record Culture

NeoVerse is designed to be a low-noise, high-trust environment. Unless NeoVerse explicitly states otherwise, Members agree to keep discussions and shared member information confidential and not to publicly attribute statements to other Members.

You remain responsible for complying with your own confidentiality obligations (e.g., employer NDAs, client secrecy, insider information rules). Do not share confidential third-party information you are not authorized to disclose.

10. Intellectual Property and License

All NeoVerse Content remains the property of NeoVerse or its licensors. NeoVerse grants you a limited, non-exclusive, non-transferable, revocable license to access Content for your internal use during the Membership term.

You may not reproduce, distribute, resell, publish, or publicly share NeoVerse Content (including recordings, notes, or frameworks) without prior written permission.

11. Recordings (If Any)

Some sessions may be recorded, others may not. If recordings occur, NeoVerse may provide access to recordings to Members for the term of their Membership or as described on the website. By participating, you consent to being recorded where clearly indicated.

12. No Reliance; Decisions at Your Own Risk

Any ideas, frameworks, opinions, or information shared are for general informational exchange only. You should seek qualified professional advice for your specific situation. You remain solely responsible for all decisions, implementations, and outcomes. NeoVerse makes no guarantees.

13. Limitation of Liability

To the maximum extent permitted by law, NeoVerse will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities.

NeoVerse's total liability for any claim relating to the Membership shall not exceed the total fees paid by you for the Membership in the three (3) months preceding the event giving rise to the claim (or USD 500, whichever is lower), except where mandatory law provides otherwise.

14. Indemnification (Business Users)

If you are a Business customer, you agree to indemnify and hold harmless NeoVerse Management LLC from claims arising out of your or your participants' misuse of the services, violation of these Terms, or infringement of third-party rights.

15. Force Majeure

NeoVerse is not responsible for delays or failures due to events beyond reasonable control (e.g., outages, platform failures, acts of God, governmental actions).

16. Changes to Services or Terms

NeoVerse may update features, platforms, and these Terms from time to time. Material changes will be posted on the website and apply to future purchases and ongoing access to the extent permitted by law.

17. Governing Law & Venue

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Exclusive venue lies in Wyoming courts, except where mandatory consumer law requires otherwise.

18. Severability

If any provision is held unenforceable, the remaining provisions remain in effect.
